DISTRIBUTION AGREEMENT
This Digital Music Distribution Agreement (the "Agreement") is entered into between FreddyLabel LTD, with its principal place of business at 27 Old Gloucester Street, LONDON, UNITED KINGDOM ("Distributor") and the undersigned artist or label ("Artist").
1. TERM & TERRITORY
This Agreement shall last for 1 year and shall renew automatically thereafter until Artist serves written notice giving no less than three (3) months written notice. Recordings will be domiciled with Distributor for a minimum term of 3 months upon execution of the Agreement. Distributor rights shall be granted on a worldwide basis for maximum distribution reach.
2. TERMINATION RIGHTS
Distributor shall have the right to cancel the Agreement at any time at its sole discretion by giving Artist thirty (30) days written notice. The Artist shall have the right to terminate this Agreement during the term by giving Distributor a minimum of thirty (30) days written notice. Should Artist choose to terminate, Distributor shall have the right to retain all income for six (6) months following termination notice.
3. ROYALTY PAYMENTS
Distributor shall pay Artist 80% of all income received from the exploitation of the Recordings. Payments shall be made on a monthly basis, provided that the amount due exceeds $50. If the amount due is less than $50, payment will be rolled over to the following month until the $50 threshold is met.
4. RIGHTS GRANTED
Artist grants to Distributor the exclusive right to distribute, market, and sell the Recordings through all digital platforms worldwide. Artist retains ownership of the Recordings and all intellectual property rights therein.
5. REPRESENTATIONS & WARRANTIES
Artist represents and warrants that: (i) Artist has the right to enter into this Agreement; (ii) Artist owns or controls all rights necessary to grant the rights granted herein; (iii) the Recordings do not infringe upon the rights of any third party; and (iv) Artist has obtained all necessary clearances and licenses for the Recordings.
6. INDEMNIFICATION
Artist shall indemnify and hold harmless Distributor from and against any and all claims, losses, damages, liabilities, and expenses arising out of any breach by Artist of any representation, warranty, or covenant made by Artist in this Agreement.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.
